1. Parties and Acceptance

These terms govern the use of the Allie service (the "Service"), offered by Allema Global inc., doing business as allema ("we", "Allema"), whose official website is allema.ca.

The Service is intended exclusively for businesses and other legal entities acting within the scope of their commercial activities. It is not offered to consumers within the meaning of Québec's Consumer Protection Act.

By creating an account, starting a trial, or using the Service, you confirm that you have the authority to bind your business to these terms.

2. Description of the Service

Allie is an automated bilingual telephone receptionist. Depending on the agreed configuration, she can answer incoming calls, inform your customers, capture messages and contact details, transfer a call to a person, send and receive text messages, and integrate with a booking system or calendar.

Initial configuration ("setup") is carried out by us based on the information you provide: business hours, services, frequently asked questions, transfer rules, integrations.

3. Limits of Artificial Intelligence

The Service must never be used as an emergency line. Allie does not replace 911 or any emergency, health, safety, or on-call service. Do not advertise or redirect to Allie a line used for urgent or critical calls.

Allie relies on language and speech-synthesis models. She may misunderstand a request, give an inaccurate answer, omit information, or fail to reach a person. You remain responsible for the commitments made to your own customers, including when such a commitment arises from an exchange with Allie. We recommend that you verify bookings, callbacks, and sensitive information.

4. Subscription, Trial and Fees

The Service is offered on a monthly, month-to-month subscription, with no minimum term. Current plans and rates are published on the Rates page.

Free trial30 days. A payment method is registered at sign-up, but no amount is charged during the trial. Cancel before the end of the trial and nothing will be billed.
Monthly subscriptionBilled at the end of the trial, then every monthly period, until cancellation.
Setup feeA one-time fee, the amount of which is agreed before work begins and varies with the complexity of your configuration. Billed at the time the trial converts — that is, after you have used the configuration for 30 days. Non-refundable (see the cancellation and refund policy).
TaxesApplicable GST and QST are added to the amounts shown.

Failed payment. If a payment fails, we attempt to retry it according to our payment provider's schedule. The Service continues to operate for a grace period of approximately 14 days following the end of the paid period; after that, calls and text messages may be refused until the account is brought current. A caller is never informed that this is a billing issue.

With respect to the personal information of your callers, you remain the organization that determines the purpose of the collection; we process it on your behalf, for the purpose of providing the Service. Our practices are described in the privacy policy.

Recording. Calls handled by Allie may be recorded and transcribed for the purposes of providing the Service, support, and quality improvement. We provide a notice mechanism at the start of the call; it is your responsibility to confirm that the notice is enabled on your agent and that it meets your legal obligations to your own callers.

Processing outside Québec. Delivering the Service relies on third-party providers whose infrastructure is located, in whole or in part, outside Canada, including in the United States: ElevenLabs (voice and transcription), Twilio (telephony and messaging), Anthropic and Google (language models), and, where applicable, your booking system. Your data and your callers' data pass through these providers. We do not claim that data remains in Québec.

7. Availability and Interruptions

We aim for continuous availability, without guaranteeing it. The Service depends on telephone networks and third-party providers whose outages we do not control. We may interrupt the Service for maintenance, security fixes, or upgrades. No service level agreement (SLA) is guaranteed unless a separate written agreement provides otherwise.

8. Liability

The Service is provided "as is." To the extent permitted by law, our total liability to you, for any cause, is limited to the amount of subscription fees you paid us during the three (3) months preceding the event. We are not liable for indirect damages, including loss of revenue, customers, bookings, or data, nor for the consequences of a call that was mishandled, missed, or not transferred.

Nothing in this section limits any liability that cannot be limited by law.

9. Termination

You may cancel at any time; cancellation takes effect at the end of the current monthly period. We may suspend or terminate the Service in the event of persistent non-payment, unlawful use, or a risk to the integrity of the platform or our other clients.

Upon termination, your data is retained and then deleted according to the timelines set out in the privacy policy. You may request earlier deletion.

10. Governing Law and General Provisions

Governing law. These terms are governed by the laws of the province of Québec and the applicable laws of Canada, and the courts of the judicial district of Montréal have exclusive jurisdiction.

Language. The parties confirm their wish that these terms and any related documents be drawn up in French. Les parties confirment leur volonté que les présentes conditions, ainsi que tout document s'y rattachant, soient rédigés en français.

Amendments. We may amend these terms. Any material change will be communicated to you by email at least 30 days before it takes effect; continued use after that date constitutes acceptance.
